Service
Phronetos provides Proof, an operational feedback governance service. The order form defines the customer, subscription term, fees, included projects, support, and any pilot outcomes. The order form controls if it conflicts with these terms.
Customer responsibilities
The customer must have authority to submit and process the data it places in Proof. It must manage reporter notices, user access, allowed origins, and project keys. It may not use the service to violate law, test security without permission, or interfere with other customers.
Ownership
The customer owns its feedback, evidence, and decision records. Phronetos owns the service, product design, documentation, and aggregated service metrics that do not identify a customer or person.
Confidentiality and security
Each party will protect the other party's confidential information. Phronetos will maintain reasonable technical and organizational safeguards and will notify the customer of a confirmed incident as required by the applicable agreement and law.
Fees, cancellation, and suspension
Fees and renewal terms appear on the order form. Unless that form states otherwise, pilot fees are fixed and subscriptions can be cancelled at the end of the current term. Phronetos may suspend access for material security risk, unlawful use, or overdue undisputed fees after reasonable notice.
Warranty and liability
The service is provided with the commitments in the order form. To the extent allowed by law, implied warranties are excluded. Neither party is liable for indirect or consequential loss. Each party's aggregate liability is limited to fees paid or payable in the twelve months before the claim, except where law or the order form requires otherwise.
